Life with Kate offers digital educational products and services through the Site, including but not limited to online courses, memberships, classes, workshops, downloadable resources, and other free or paid offerings (collectively, the “Programs”).

Current Programs may include, without limitation, Inner Circle, New You, Mind-Body Series, Anxiety Series, Move with Kate, and Align with Kate, as well as any other products, memberships, services, or offerings made available by Life with Kate now or in the future.

Unless otherwise expressly stated, all Programs are intended for individual, personal, non-commercial use only. Certain Programs may have additional details, features, pricing, access periods, payment options, or other terms described on the applicable sales page, checkout page, or within the Program itself. In the event of any conflict between these Terms & Conditions and the specific terms stated for a particular Program, the specific Program terms shall control solely with respect to that Program.

Access to any Program is granted only to the purchaser or authorized participant and may not be shared, transferred, sublicensed, or assigned without the prior written consent of Life with Kate.

 

PARTICIPANTS

The Programs, memberships, products, and services offered by Life with Kate are intended only for individuals who are at least eighteen (18) years of age and capable of entering into a legally binding agreement. All Programs, memberships, products, and services are for individual, personal use only, unless otherwise expressly stated in writing by Life with Kate. You may not share, transfer, assign, sublicense, sell, or otherwise permit any third-party to use your access, login credentials, or purchased materials without the prior written consent of Life with Kate.

You agree to provide accurate, current, and complete information when purchasing or registering for any Program, membership, product, or service, and to update such information as necessary to keep it accurate and complete.

Life with Kate reserves the right, in its sole discretion, to refuse service, deny access, suspend access, or terminate access to any person or account that violates these Terms & Conditions or otherwise engages in conduct that Life with Kate believes may harm the Site, the Programs, other participants, or the interests of Life with Kate.

 

FEES

Fees for all Programs, memberships, products, and services are listed on the applicable sales page or checkout page at the time of purchase. By purchasing any Program, membership, product, or service from Life with Kate, you agree to pay all charges and fees associated with your purchase.

Life with Kate reserves the right to change pricing for any current or future Program, membership, product, or service at any time, in its sole discretion. Any price change will apply only to purchases made after the updated pricing is posted and will not affect purchases already completed, unless otherwise expressly stated.

 

METHODS OF PAYMENT

By purchasing any Program, membership, product, or service from Life with Kate, you authorize Life with Kate and its third-party payment processors to charge your selected payment method for all applicable fees and charges associated with your purchase.

For one-time purchases, your selected payment method will be charged at the time of purchase unless otherwise stated. For Programs offered through a payment plan, you authorize Life with Kate to automatically charge your selected payment method according to the payment schedule presented to you at checkout until all payments have been made in full.

For memberships, including Inner Circle, you authorize Life with Kate to automatically charge your selected payment method on a recurring basis in accordance with the membership option you selected at the time of purchase, whether monthly, quarterly, annually, or otherwise, unless and until you cancel in accordance with the applicable membership terms. Cancellation will be effective for the next billing cycle following your cancellation request and will not result in a prorated refund for any unused portion of the current billing period. Cancellation of a membership will stop future recurring charges only and will not entitle you to a refund of any fees already paid.

You are responsible for providing complete, current, and accurate billing and contact information and for promptly updating such information as needed. If your payment method is declined, expires, is canceled, or otherwise fails, Life with Kate may suspend or terminate your access to the applicable Program, membership, product, or service until payment is successfully processed and your account is brought current.

If you initiate a payment dispute or chargeback in violation of these Terms & Conditions, Life with Kate reserves the right to immediately suspend or terminate your access to any current or future Programs, memberships, products, or services. You remain responsible for all outstanding amounts owed, as well as any related chargeback, dispute, collection, or administrative fees incurred by Life with Kate.

 

PROGRAM ACCESS / LIFETIME ACCESS

Upon successful purchase or registration, you will receive access to the applicable Program, membership, product, or service in accordance with the terms described on the applicable sales page, checkout page, or related materials provided by Life with Kate.

Unless otherwise expressly stated, access to Programs, memberships, products, and services is granted solely to the individual purchaser or authorized participant and may not be shared, transferred, assigned, sublicensed, or otherwise provided to any third-party.

If Life with Kate offers “lifetime access” to a Program, such term means access for the lifetime of the Program as offered by Life with Kate, and not for the lifetime of the purchaser. Life with Kate reserves the right, in its sole discretion, to modify, update, discontinue, replace, remove, or limit access to any Program, membership, product, service, platform, portal, feature, or Content at any time.

The Company may periodically update the content, materials, features, or structure of any Program, membership, product, or service. Life with Kate does not guarantee that any particular Program, membership, product, service, platform, portal, feature, or Content will remain available indefinitely in its current form or at all.

If access is terminated due to your violation of these Terms & Conditions, nonpayment, unauthorized sharing, misuse of Content, or other conduct prohibited by these Terms & Conditions, you will not be entitled to any refund, credit, or exchange.

 

REFUND POLICY

All sales are final. Due to the digital nature of our Programs, products, memberships, and services, we do not offer refunds, credits, or exchanges for any reason.

By purchasing any Program, membership, product, or service from Life with Kate, you understand and agree that you are receiving immediate access to digital content, educational materials, and/or membership benefits, and that such access constitutes good and valuable consideration for your purchase.

You acknowledge and agree that your purchase constitutes your knowing and voluntary agreement to these Terms & Conditions, including this Refund Policy, whether or not you choose to access, use, begin, or complete the Program, membership, product, or service.

If you are enrolled in a payment plan, you are responsible for completing all remaining payments according to the agreed payment schedule, regardless of whether you complete or participate in the Program. Failure to make timely payments may result in suspension or termination of your access to the applicable Program, membership, product, or service until your account is brought current.

If you do not understand or agree with this Refund Policy, do not purchase any Program, membership, product, or service from Life with Kate.

 

YOUR CONDUCT IN THE PROGRAM; CONFIDENTIALITY; USE OF YOUR MATERIALS

By purchasing, accessing, or participating in any Program, membership, product, or service offered by Life with Kate, you agree to conduct yourself in a respectful, lawful, and appropriate manner at all times. You may not use any Program, membership, product, service, community space, comment area, live session, or related platform to post, share, or transmit any unlawful, abusive, harassing, threatening, defamatory, obscene, hateful, or otherwise objectionable content or communications.

Life with Kate reserves the right, in its sole discretion, to remove any content, suspend or terminate your access, or remove you from any Program, membership, service, community, or related space, without refund, if your conduct is disruptive, harmful, violates these Terms & Conditions, or otherwise interferes with the experience, safety, or rights of Life with Kate or any other participant.

You understand that certain Programs or memberships may include opportunities for interaction with other participants, including but not limited to discussion spaces, live calls, comments, shared questions, or other community features. You agree to respect the privacy and confidentiality of other participants and not to disclose, share, copy, distribute, or misuse any private, personal, confidential, or proprietary information shared by other participants or by Life with Kate in connection with the Program.

Any materials, comments, questions, suggestions, feedback, submissions, or other content that you post, submit, upload, or share in connection with a Program, membership, product, or service remain your responsibility. By submitting or sharing such materials, you represent and warrant that you have the right to do so and that your submission does not violate the rights of any third-party.

By submitting or sharing any comments, testimonials, feedback, questions, ideas, posts, or other materials in connection with a Program, membership, product, or service, you grant Life with Kate a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, distribute, modify, adapt, and share such materials for business, educational, promotional, marketing, or other lawful purposes, unless otherwise prohibited by law. If you do not wish for such materials to be used in this way, do not submit them.

Life with Kate is not responsible for the conduct of any participant or third-party and cannot guarantee that other participants will maintain the confidentiality of information shared in any Program, membership, or community setting. You understand that any information you choose to share in such spaces is shared at your own risk.

 

USERNAME AND PASSWORD

To access certain Programs, memberships, products, services, or features of the Site, you may be required to create an account or use login credentials, including a username and password. You are responsible for maintaining the confidentiality of your username, password, and account information, and for restricting access to your account and devices.

You are fully responsible for all activities that occur under your account, whether or not authorized by you. You agree to notify Life with Kate immediately of any unauthorized use of your account, username, password, or any other breach of security.

Your account and login credentials are personal to you and may not be shared, transferred, sold, assigned, sublicensed, or otherwise provided to any other person or entity without the prior written consent of Life with Kate. Any unauthorized sharing of your account or login credentials may result in immediate suspension or termination of your access to the Site and any Programs, memberships, products, or services, without refund.

Life with Kate is not liable for any loss or damage arising from your failure to protect your username, password, or account information, or from your failure to notify Life with Kate promptly of any unauthorized use or breach of security.

 

NO TRANSFER OF INTELLECTUAL PROPERTY; LIMITED LICENSE

All content, materials, Programs, memberships, products, services, and other information made available by Life with Kate, whether on the Site or through any Program area, including without limitation videos, trainings, lessons, worksheets, downloads, templates, copy, graphics, designs, audio recordings, frameworks, methods, course materials, and other proprietary content (collectively, the “Content”), are owned by or licensed to Life with Kate and are protected by copyright, trademark, and other intellectual property laws.

Your purchase of or access to any Program, membership, product, service, or Content does not transfer to you any ownership rights in the Content. All rights not expressly granted in these Terms & Conditions are reserved by Life with Kate.

Subject to your compliance with these Terms & Conditions, Life with Kate grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your own individual, non-commercial use.

You may not copy, reproduce, republish, upload, post, transmit, distribute, modify, create derivative works from, sell, license, rent, share, exploit, or otherwise use any Content for commercial purposes or in any manner not expressly authorized in writing by Life with Kate. You may not share your access, login credentials, or Program materials with any third-party, and you may not use the Content to teach, train, coach, consult with, or create competing materials, programs, products, or services.

Any unauthorized use of the Content or violation of this Section constitutes infringement and may result in immediate suspension or termination of your access to the Site and any Programs, memberships, products, or services, without refund, in addition to any other remedies available at law or in equity.

 

GOVERNING LAW

 

APPLICABLE LAW, JURISDICTION, AND DISPUTE RESOLUTION

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Utah in the United States, without regard to its choice of law provisions. You agree to submit to personal jurisdiction in the State of Utah and further agree that any cause of action arising from or relating to the use of this Site or these Terms & Conditions shall be brought exclusively in the federal or state courts residing in Iron County, Utah.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND Life with Kate HEREBY WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING OR LITIGATION BROUGHT AGAINST THE OTHER WITH RESPECT TO THESE TERMS & CONDITIONS OR THE SITE. IN ADDITION, NEITHER YOU NOR Life with Kate SHALL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS BY OR AGAINST OTHER SITE USERS, OR LITIGATE ANY CLAIM AS A REPRESENTATIVE OR CLASS ACTION OR IN A PRIVATE ATTORNEY GENERAL CAPACITY.

 

SEVERABILITY AND INTERPRETATION

If any provision of these Terms & Conditions shall be deemed unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, the validity and enforceability of any remaining provisions shall not be affected. When used in these Terms & Conditions, the term “including” shall be deemed to be followed by the words “without limitation.”

 

ENTIRE AGREEMENT

These Terms & Conditions constitute the entire and only Agreement between Life with Kate and each user of this Site with respect to the subject matter of these Terms & Conditions and supersedes any and all prior or contemporaneous Agreements, representations, warranties and understandings, written or oral, with respect to the subject matter of these Terms & Conditions.

 

MISCELLANEOUS

The failure of Life with Kate Parties to insist upon strict adherence to any term of these Terms & Conditions shall not constitute a waiver of such term and shall not be considered a waiver or limit that party's right thereafter to insist upon strict adherence to that term or any other term of these Terms & Conditions. You agree that regardless of any statute or law to the contrary, any claim of cause of action arising from or relating to use of this Site or these Terms & Conditions must be filed within one (1) year after such claim or cause of action arose, or will be forever barred. The “Disclaimer; Limitation of Liability” provisions of these Terms & Conditions are for the benefit of Life with Kate Parties as defined herein, and each of these individuals or entities shall have the right to assert and enforce these provisions directly against you on its own behalf. 

 

COPYRIGHT POLICY

We respect the intellectual property rights of others and require that Site users do the same. If you believe that your proprietary work has been copied in a way that constitutes copyright infringement, please forward the following information to Life with Kate's Copyright Agent, designated as such pursuant to the Digital Millennium Copyright Act, 17 U.S.C. § 512(c)(2), named below:

A physical signature of the person authorized to act on behalf of the owner of the copyright; A description of the copyrighted work that you claim has been infringed; A description of where the material that you claim is infringing is located on the Service; Your address, telephone number, and email address; A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
